1. Services Overview
Namecoding Technologies LTD provides professional web development, mobile application development, and related digital services ("Services") to clients ("Client"). Our team of experienced developers and designers work to deliver high-quality solutions tailored to meet your business objectives.
2. Service Scope
The scope of services will be clearly defined in the project proposal and agreement provided to you. This may include:
- Website design and development
- Mobile application development (iOS and Android)
- User interface (UI) and user experience (UX) design
- Performance optimization and security implementation
- Maintenance and support services
- Other services as mutually agreed upon
3. Development Process
Our development process includes discovery, design, development, testing, and deployment phases. We maintain regular communication with clients throughout the project to ensure alignment with your vision and requirements. We may adjust timelines based on change requests or unforeseen challenges.
4. No Refund Policy
Please note: Once we have commenced building your project, all payments are non-refundable.
This policy is in place to protect our team's investment in your project and ensure we can dedicate full resources to delivering the best quality work. Before commencing any project, we conduct thorough discovery sessions to ensure complete alignment on requirements, timeline, budget, and expectations. If you have concerns about project direction, please discuss them immediately with our project manager, and we'll work together to find solutions.
5. Payment Terms
Payment terms will be specified in your project proposal. Generally:
- Initial deposit (50% of total project cost) is due upon project commencement
- Final payment (50% of total project cost) is due upon project completion
- For ongoing support, monthly payments are due at the beginning of each month
- Late payments may result in project suspension
6. Intellectual Property
Upon full payment, all custom code, design, and deliverables created specifically for your project are yours to own and use. Third-party libraries, frameworks, and open-source components remain subject to their respective licenses. We retain the right to use methodologies and general approaches in future projects.
7. Client Business Responsibility and Legal Compliance
Namecoding Technologies LTD is solely engaged in the design, development, and sale of software systems and digital solutions. We do not operate, manage, co-own, supervise, or run the Client’s business, platform, or service, except where explicitly stated in a separate written agreement.
Once a system is delivered, all business operations, decisions, financial activities, data processing, user interactions, and content managed through the software are entirely the responsibility of the Client. Namecoding Technologies LTD has no control over how the system is used after delivery.
Namecoding Technologies LTD does not collect, store, process, or retain Client data or end-user information, including personal data, financial data, or identification documents, unless explicitly agreed in writing. We do not conduct Know Your Customer (KYC), Customer Due Diligence (CDD), or any form of user or buyer verification on behalf of Clients.
Namecoding Technologies LTD sells software products to buyers in both local and international markets through various channels. Due to the nature of global software distribution, we do not have the means, obligation, or authority to collect, verify, or manage buyer KYC, identity documentation, or regulatory onboarding requirements.
All regulatory, data protection, compliance, KYC, AML/CFT, and user verification obligations arising from the use, deployment, or operation of any software developed or sold by Namecoding Technologies LTD are the sole responsibility of the Client or software operator.
Where Namecoding Technologies LTD develops and sells a software product (custom or off-the-shelf), the Client acknowledges that how the software is configured, deployed, or used is entirely at the Client’s discretion. Any misuse, abuse, or illegal use of the software or any part of the system is not the responsibility of Namecoding Technologies LTD.
Namecoding Technologies LTD only provides services to legitimate and lawful businesses. If a Client or buyer misrepresents their business intentions and engages us to develop or acquire a system for illegal, fraudulent, or prohibited activities, we reserve the right to take appropriate action.
Such actions may include project termination, suspension or shutdown of the system (where management or administrative access exists), reporting the activity to relevant authorities, and pursuing legal remedies as permitted by law.
Where illegal use is discovered after delivery and Namecoding Technologies LTD does not have operational control or access to the system, the Client or buyer acknowledges that they alone shall face any resulting legal consequences when identified by regulatory bodies or law enforcement agencies.
8. Changes and Additional Work
Any changes to the project scope, additional features, or modifications requested beyond the original agreement will be treated as change requests. These may impact the project timeline and cost. We will provide an estimate for any additional work before proceeding, and you must approve it in writing.
9. Timeline and Delays
While we strive to meet all agreed timelines, delays may occur due to unforeseen circumstances, additional changes, or client feedback cycles. We will communicate any delays as soon as they become apparent. Extended delays caused by client inaction or change requests are the responsibility of the client.
10. Quality Assurance
We conduct thorough testing to ensure your project meets quality standards and functions as specified. However, we cannot guarantee 100% error-free delivery. We encourage clients to provide feedback during testing phases so we can address any issues before launch.
11. Support and Maintenance
After project launch, maintenance and support are available on a separate contract basis. We offer various support packages including bug fixes, performance optimization, security updates, and feature enhancements.
12. Confidentiality
Both Namecoding Technologies and the Client agree to maintain confidentiality regarding proprietary information shared during the engagement. We will not disclose your business information, data, or project details to third parties without your express permission, except as required by law.
13. Limitation of Liability
To the maximum extent permitted by law, Namecoding Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or any deliverables. Our liability is limited to the amount paid for the services.
14. Termination
Either party may terminate the project with written notice. If terminated by the Client, all work completed to date is non-refundable, and the Client is responsible for payment of any work in progress. Upon termination, we will provide all deliverables completed to that point.
15. Dispute Resolution
Any disputes arising from this agreement shall first be handled through direct communication and negotiation between both parties. If resolution cannot be reached, the dispute will be subject to the laws of Nigeria and the jurisdiction of Nigerian courts.
